1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of the website at https://foodwork.ae (the “Website”) and any related tools, calculators, guides, checklists, communications and online services we make available (together, the “Services”), all operated by FoodWork (“FoodWork”, “we”, “us” or “our”), based at 2101, Court Tower, Business Bay, Dubai, United Arab Emirates.

FoodWork is a brand operated by Clickster Marketing Management Co. L.L.C., a company duly incorporated and licensed in the Emirate of Dubai, United Arab Emirates. Unless expressly stated otherwise, all quotations, agreements, invoices, receipts, payments, and services provided under the FoodWork brand are issued, contracted, and administered by Clickster Marketing Management Co. L.L.C. Throughout this Policy, references to “FoodWork”, “we”, “us”, or “our” mean Clickster Marketing Management Co. L.L.C. trading as FoodWork.

By accessing or using the Website or Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must stop using the Website and Services immediately.

These Terms apply to your use of the Website only. Any paid engagement for cloud kitchen setup, platform onboarding, marketing, revenue growth or virtual brand expansion is governed by a separate written services agreement between you and FoodWork. Where that agreement conflicts with these Terms, the services agreement prevails for that engagement.

2. Definitions

  • “You” or “User”: any person who accesses or uses the Website or Services, whether on their own behalf or on behalf of a company or other entity.
  • “Content”: all text, graphics, logos, designs, guides, checklists, calculators, data, layouts, code and other materials made available through the Website or Services.
  • “Submission”: any information, enquiry, message, document or material you send to us or input into the Website or Services.
  • “Usage Data”: information about how you interact with the Website and Services, including your visits, pages viewed, clicks, device and browser data, approximate location and referral source, collected through cookies and similar technologies.

3. Eligibility and intended use

The Website and Services are intended for business owners, founders, operators, investors and professionals, and are directed at a business audience. By using the Website you confirm that you are at least 18 years old and that, where you act for a company or other entity, you have authority to bind that entity to these Terms.

The Services are informational and commercial in nature. They are intended to help you evaluate and plan cloud kitchen activities in the United Arab Emirates. They are not directed at consumers for personal or household use.

4. Use of Usage Data, marketing and retargeting

This is an important section. By accessing or using the Website and Services, you acknowledge and agree to the following, subject to the consent choices you make through our cookie controls and to applicable UAE law:

  • Collection of Usage Data. We and our service providers collect Usage Data about your visits and interactions through cookies, tags, pixels, software development kits and similar technologies, including Google Tag Manager and Google Analytics.
  • Marketing and remarketing. Where you have given the necessary consent, we may use your Usage Data, contact details and enquiry information to market our Services to you, to measure the performance of our marketing, and to deliver retargeting and remarketing advertising to you across third-party platforms and networks, including but not limited to Google, Meta (Facebook and Instagram), LinkedIn and WhatsApp.
  • Audiences and measurement. Subject to consent, your Usage Data may be used to build, segment and refine advertising audiences, to create similar or lookalike audiences, to suppress or include you in specific campaigns, and to attribute and optimise advertising and conversion performance.
  • Combining data. We may combine Usage Data with the enquiry, booking and contact information you provide so that we can understand interest in our Services and tailor our communications and advertising accordingly.
  • Third-party platforms. When retargeting and advertising are delivered through third-party platforms, those platforms process data under their own terms and privacy policies, over which we have no control.
  • Your control. You may manage or withdraw your consent at any time through the cookie controls on the Website, your browser and device settings, the opt-out tools offered by the relevant advertising platforms, or by contacting us at contact@foodwork.ae. Withdrawing consent does not affect processing already carried out, and does not stop communications that are necessary to respond to your enquiries or deliver Services you have engaged us for.

These Terms do not reduce any rights that you have under that Policy or under UAE law.

5. Calculators, guides and other tools

Our calculators (including the Cloud Kitchen Setup Cost Calculator and the Delivery Rating Recovery Calculator), guides, checklists and similar tools are provided for general information and planning only. They produce indicative estimates based on the inputs and assumptions used and do not constitute a quotation, a commitment, or a guarantee of any cost, outcome, rating, ranking, revenue or result.

You are responsible for verifying any figure or assumption before relying on it. We do not warrant that the outputs of any tool are accurate, complete, current or suitable for your specific circumstances, and we accept no liability for decisions made in reliance on them.

6. No professional, legal or financial advice

The Content and Services are not legal, financial, tax, regulatory, licensing or investment advice, and do not create any advisory or fiduciary relationship. Licensing requirements, approvals, platform policies and market conditions in the United Arab Emirates change over time and vary by case. You should obtain independent professional advice before making any decision or commitment. Any reference to delivery platforms such as Talabat, Deliveroo, Careem, Noon or Keeta is for information only and does not imply any endorsement, partnership or affiliation unless expressly stated.

7. No guaranteed results

Statistics, case references, testimonials and performance figures shown on the Website describe past situations and do not guarantee future results. Outcomes depend on many factors outside our control, including your own execution, market conditions, third-party platform decisions, and the accuracy of information you provide. We make no representation or warranty that any particular ranking, rating, visibility, order volume, revenue or other outcome will be achieved.

8. Acceptable use

You agree that you will not, and will not permit any other person to:

  • use the Website or Services for any unlawful, fraudulent or harmful purpose, or in breach of any applicable UAE law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes;
  • copy, scrape, harvest, reproduce, republish, resell, distribute or create derivative works from the Content without our prior written permission;
  • introduce any virus, malware, or harmful code, or attempt to gain unauthorised access to, interfere with, or disrupt the Website, Services or any related systems or networks;
  • use any automated system, robot, spider or similar tool to access, monitor or copy the Website or Content except as permitted by standard search engine indexing;
  • misrepresent your identity or affiliation, or submit false, misleading or unlawful information;
  • use the Website or Services to send unsolicited communications, or to infringe the rights of any third party.

We may investigate any suspected breach and may suspend or terminate your access without notice.

9. Intellectual property

All Content, and all intellectual property rights in the Website, the Services and the FoodWork name, logo and branding, are owned by or licensed to FoodWork and are protected by applicable laws. Nothing in these Terms transfers any such rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and Content for your own internal, lawful, non-commercial evaluation purposes only. Any other use, including commercial use, reproduction, redistribution or modification, requires our prior written consent. All rights not expressly granted are reserved.

10. Your Submissions

You are responsible for your Submissions and confirm that you have the right to provide them and that they do not infringe any third-party rights or any law. You must not submit Sensitive Personal Data unless we have specifically requested it.

By making a Submission, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, copy and process it for the purpose of responding to you, providing the Services, and improving the Website and Services. Where you give us feedback, ideas or suggestions, we may use them freely without any obligation or compensation to you.

11. Third-party links, platforms and services

The Website integrates with and links to third-party platforms and services, including our scheduling tool (Cal.com), WhatsApp, social media platforms and advertising networks. We do not control these third parties and are not responsible for their content, availability, terms, privacy practices or any loss arising from your use of them. Your use of those third-party services is governed by their own terms and policies.

12. Availability of the Website and Services

We provide the Website and Services on an “as is” and “as available” basis. We do not warrant that the Website or Services will be uninterrupted, error-free, secure, or free of harmful components, and we may modify, suspend or discontinue any part of them at any time without notice and without liability to you.

13. Disclaimer of warranties

To the fullest extent permitted by applicable law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, in relation to the Website, the Content and the Services.

14. Limitation of liability

To the fullest extent permitted by applicable law, FoodWork, together with its owners, managers, employees and service providers, will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use of, or inability to use, the Website, Content or Services, even if we have been advised of the possibility of such loss.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the Website, the Content and the Services accessed free of charge is limited to one thousand United Arab Emirates Dirhams (AED 1,000). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law.

15. Indemnity

You agree to indemnify and hold harmless FoodWork and its owners, managers, employees and service providers from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website or Services, or your violation of any law or third-party right.

16. Suspension and termination

We may restrict, suspend or terminate your access to the Website or Services at any time, with or without notice, including where we reasonably believe you have breached these Terms or applicable law. The sections of these Terms that by their nature should survive termination, including those covering intellectual property, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

17. Changes to these Terms

We may update these Terms from time to time to reflect changes in our Services, technology or legal requirements. The updated Terms take effect when posted on the Website. Your continued use of the Website or Services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

18. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Website or Services, are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. You agree that the courts of Dubai have exclusive jurisdiction to settle any such dispute, without prejudice to any mandatory rights you may have under applicable law.

19. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them as part of a reorganisation, merger or sale of our business. These Terms, together with the Privacy Policy and any applicable services agreement, constitute the entire agreement between you and FoodWork regarding your use of the Website and Services.
